Corporate Governance Officer
Part-time, 24 hours, Leiden, The Netherlands
Your job as a Corporate Governance Officer
As Corporate Governance Officer, you are part of the legal department who contributes to the sustained success of the business, by minimizing legal risk and supporting the clients with timely, proactive, risk balanced and collaborative legal advice and solutions. In this position you support the board, supervisory board and works council.
You are responsible for the preparation and facilitation of the corporate governance calendar for each of the bodies at least one year ahead on a continuous cycle. You circulate the draft agendas well ahead of the meetings, soliciting agenda items and agreeing the final agendas with the relevant bodies. Next to this you prepare minutes in a timely manner, prepare the action points.
Furthermore you prepare written board resolutions and e-approvals as requested by clients, being part of the business as usual cycle e.g. approval of statutory accounts, payment of dividends etc.
Next to this you act as subject matter expert for corporate governance. You maintain knowledge of corporate governance developments in The Netherlands and inform stakeholders of best practice, regulations and law, which will impact Astellas. In the role as Corporate Governance Officer you prepare powers of attorney and onboard and off board appointed directors. You author requests for advice and other correspondence with the works council.
Your personal qualifications as a Corporate Governance Officer
- Degree level in law
- Experience of interacting with works councils, boards of directors and statutory bodies e.g. commercial registry
- Demonstrable track record of tact and discretion
As Corporate Governance Officer you have experience in corporate secretariat activities like organizing meetings, authoring minutes and the annual corporate governance cycle. Next to this, you have demonstrable experience of tasks and activities at manager level with strong customer focus in a multi-disciplinary, matrix and cross-cultural environment.
You also have excellent organizational and planning skills and the ability to multitask and to work to tight deadlines. As Corporate Governance Officer you have excellent interpersonal written and verbal communication skills in English. Next to this you can work on different levels and you can build great relationships with people from other cultures.
Furthermore, you have the ability to deal with highly confidential information with discretion and sensitivity. Next to this you have expertise and proven track record in executing many tasks and activities at the same time, capability to resolve conflict and understand when and how to escalate issues for resolution. In addition, you have the ability to problem solve independently based on expertise in corporate governance across both a range of corporate bodies and business processes.
